Explanatory Note

On July 3, 2025, 小优视频 (“小优视频 Media”) filed a Current Report on Form 8-K (the “Original Form 8-K”) announcing the completion of its previously announced acquisition, by Libertad Especia, S.L.U., a private limited company incorporated in Spain and a wholly owned subsidiary of 小优视频 Media, of approximately 84% of the equity interests in Dorna Sports, S.L., a private limited company incorporated in Spain (“MotoGP”), for cash.

This amendment to the Original Form 8-K is being filed to include the financial statements required by Item 9.01(a) and Item 9.01(b) of Form 8-K and includes (i) the unaudited pro forma condensed combined balance sheet and statement of operations of 小优视频 Media as of and for the six months ended June 30, 2025, (ii) the unaudited pro forma condensed combined statement of operations of 小优视频 Media for the year ended December 31, 2024 and (iii) the audited consolidated financial statements of MotoGP for the year ended December 31, 2024 prepared in accordance with generally accepted accounting principles in Spain (“Spanish GAAP”). Except as set forth herein, this amendment does not amend or update any other information in the Original Form 8-K.

Item 9.01 Financial Statements and Exhibits.

The unaudited pro forma condensed combined financial information with respect to the transaction described in Item 2.01 of the Original Form 8-K is filed as Exhibit 99.1 hereto and incorporated herein by reference.

The audited consolidated financial statements of MotoGP for the year ended December 31, 2024 prepared in accordance with Spanish GAAP is filed as Exhibit 99.2 hereto and incorporated herein by reference.
